1. Acceptance of Terms

By accessing and using the website taisho.design ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by these terms, please do not use this Service.

2. Description of Services

taisho. provides high-fidelity UI engineering, frontend architecture, and design system consultancy services ("Services"). We operate on a limited-availability basis using a reservation system ("Slots").

3. Engagement, Contracts & Reservations ("Slots")

  • Booking: Availability is limited to a specific number of projects per quarter. A slot is only officially secured upon the payment of a 20% commitment fee (deposit).
  • Project-Specific Contracts: These Terms of Service act as a general framework. For every engagement, we utilize Deel’s Standard Contractor Agreement as the legal baseline. This standard agreement is supplemented by a specific Scope of Work (SOW) attached to the contract, which defines the exact deliverables, timeline, and pricing.
    • Fixed-Price Projects: (e.g., Conversion Sprint, Audits) will follow the standard Deel agreement with a fixed-scope SOW.
    • Variable-Scope Projects: (e.g., Technical Architecture) will follow the standard Deel agreement with a bespoke SOW detailing the custom roadmap.
  • Platform (Deel): All formal contracts, compliance documents, and signatures are managed via Deel to ensure international legal security for both parties.
  • Cancellations & Refunds: The commitment fee acts as a retainer to secure your exclusive time slot. Therefore, this fee is strictly non-refundable upon payment. If the Client chooses to cancel the project at any time after booking, the fee will be retained to cover the opportunity cost of reserving our limited availability.

4. Intellectual Property Rights

  • Client Ownership: Upon full payment of all fees, the Client is granted full and exclusive ownership of the final deliverables, including source code, design files, and assets created specifically for the project.
  • Portfolio Rights: taisho. retains the perpetual right to display visual representations of the project (screenshots, recordings, performance metrics, and case studies) in our portfolio and social media for promotional purposes. This right persists even if a standard Non-Disclosure Agreement (NDA) is signed, unless a specific "White Label" or "Total Secrecy" clause is negotiated and paid for by the Client.
  • Taisho Website: The content, layout, and code of the website taisho.design are the proprietary property of taisho. and may not be copied or reproduced without permission.

5. Payment Terms & Platforms

  • Processing via Deel: All invoicing, contract management, and payments are processed through Deel. This ensures secure, compliant international transactions.
  • Invoicing: Milestones and payment schedules are defined in the specific Contract and SOW generated on Deel.
  • Late Payments: We reserve the right to pause ongoing engineering work if milestone payments are not made within the agreed timeframe.

6. Limitation of Liability

The Services are provided "as is". While we guarantee that our code meets specific performance benchmarks (e.g., Lighthouse scores) at the time of delivery:

  • We are not responsible for performance degradations caused by third-party scripts, client modifications, or hosting issues (e.g., Vercel outages) occurring after delivery.
  • In no event shall taisho. be liable for any indirect, incidental, or consequential damages arising out of the use of our services.

7. Third-Party Tools

We utilize modern technologies (SvelteKit, Tailwind CSS, Vercel). By using our services, you acknowledge that your project may be subject to the terms of service of these third-party providers regarding hosting and usage limits.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of Santa Fe, Argentina, without regard to its conflict of law provisions.
